Terms of Service #

1. Introduction #

These Terms of Service (“Terms”) govern your use of EthicsPortal at ethicsportal.eu (the “Service”). EthicsPortal is operated by Yaroslav Shmarov, registered at ul. Obrzeżna 1A, 02-691 Warsaw, Poland (“we”, “us”, “our”). Baseline contracting-party information is published on the trust page.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of service #

EthicsPortal is a secure whistleblower reporting platform. The Service allows organizations to manage compliance reporting channels and protect whistleblowers.

Cancellation and refunds #

You can cancel your subscription at any time from your billing settings, no questions asked. Cancellation takes effect at the end of the current billing period — you retain access until then.

Subscriptions are non-refundable. We do not refund the unused portion of a billing period after cancellation.

6. User content #

“User content” includes any text, images, files, or other materials you submit to the Service (profile information, uploaded files).

We reserve the right to remove content that violates these Terms.

10. Disclaimer of warranties #

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service, these Terms, the Data Processing Agreement , or the Service level agreement will not exceed the fees you paid us for the Service in the 12 months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability for fraud, willful misconduct, or any liability that cannot be excluded or limited under applicable law.

12. Intellectual-property infringement indemnity #

To the maximum extent permitted by law, we will defend the Controller against any third-party claim brought against the Controller alleging that the Service, as provided by us and used in accordance with these Terms and the Data Processing Agreement , infringes a copyright, trademark, or patent enforceable in the European Union, and we will pay the damages and reasonable costs finally awarded against the Controller by a court of competent jurisdiction or agreed by us in settlement, provided that the Controller:

If the Service becomes, or in our reasonable opinion is likely to become, the subject of an infringement claim, we may, at our option and expense, (i) procure for the Controller the right to continue using the Service, (ii) modify the Service to be non-infringing while preserving substantially equivalent functionality, (iii) replace the Service with a non-infringing alternative of substantially equivalent functionality, or (iv) where none of the above is commercially reasonable, terminate the affected portion of the Service and refund any prepaid fees for the unused portion of the then-current billing period.

To the maximum extent permitted by law, this Section 12 states our entire liability, and the Controller’s exclusive remedy, with respect to third-party intellectual-property infringement claims relating to the Service. Amounts payable under this Section 12 are subject to the aggregate liability cap in Section 11.

13. Governing law and disputes #

These Terms are governed by the laws of Poland. Any disputes arising from or related to these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of Warsaw, Poland.

If you are a consumer resident in the EU, you also have the right to bring proceedings in the courts of your country of residence.

14. Changes to these Terms #

We may update these Terms from time to time. When we make material changes, we will notify you by email or through an in-app notification at least 14 days before the changes take effect.

Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree with the updated Terms, you may delete your account.

15. Severability #

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
